ASE SOCIETY INDEPENDENT PRODUCER AGREEMENT

This Independent Producer Agreement ("Agreement") is entered into by and between Ase Society: NPN 21707753 ("Master Agency") and the undersigned independent insurance producer ("Producer"), collectively referred to as the "Parties," and is effective as of the date of digital submission.

1. Independent Contractor Status

Producer enters into this Agreement strictly as an independent contractor and not as an employee, partner, or joint venturer of Ase Society. Producer retains sole discretion and control over their hours, methods, marketing strategies, and operational locations, subject to the compliance standards outlined herein. Producer is solely responsible for all federal, state, and local taxes, self-employment taxes, licensing fees, Errors & Omissions (E&O) insurance premiums, and any business expenses incurred in the operation of their independent practice. No withholding taxes or employee benefits of any kind will be provided by Ase Society.

2. Scope of Services & Producer Authority

Producer is authorized to market, solicit, and process applications for life insurance products through the Master Agency’s designated technology infrastructure and Brokerage General Agency (BGA) partnerships, strictly within Producer’s licensed state footprint (Arizona, Texas, and New York). Producer must maintain an active life insurance license in at least one of these operating states, a valid National Producer Number (NPN), and active individual E&O insurance with limits of at least $1,000,000 listing Producer’s individual name prior to submitting any business.

3. Commission Split & Compensation

• Commission Structure: Producer shall earn a competitive 60/40 commission split in the Producer's favor (60% paid to Producer, 40% retained by Master Agency / Ase Society) on all net life insurance production successfully placed and paid through the Master Agency's hierarchy.

• Volume Escalators & Rewards: Producer’s commission split, performance rewards, and access to company-backed benefits may be subject to scaling adjustments or performance bonuses based on verified sales volume milestones, as determined by Master Agency policy.

• As-Earned & Chargebacks: Commissions are paid on an as-earned basis per carrier guidelines. Producer acknowledges responsibility for any commission chargebacks resulting from policy cancellations, early lapses, or premium refunds, and agrees that Master Agency may deduct chargeback amounts from future commission payouts.

4. Lead Generation & Company-Funded Resources

• Independent Pipeline: Producer is primarily responsible for sourcing their own client pipeline through digital marketing, blogging, social media, networking, or live workshops.

• Performance-Based Leads: Company-funded lead generation programs are not guaranteed and are reserved exclusively as a performance reward for producers who have actively generated revenue and proven production for the company over a rolling timeframe.

• Exclusivity: Any clients or policies sourced directly through company-funded lead generation programs or company rewards remain exclusive agency assets and are strictly ineligible for transfer.

5. Compliance, Advertising, and Client Verification

• Strict Regulatory Adherence: Producer agrees to comply fully with all state Department of Insurance (DOI) regulations, state advertising rules, consumer privacy laws, and anti-fraud standards.

• Company Compliance Standards: Producer must adhere strictly to Ase Society’s internal compliance guidelines. Additional company-specific compliance education and training may be required upon onboarding or periodically thereafter.

• Client Information Verification: While clients may utilize self-service digital quoting and application tools, Producer remains actively responsible for reviewing, verifying, and confirming all client information for accuracy before final submission and conversion.

6. Book Release & Agent of Record (AOR) Policy

• Master Hierarchy: All policies written through this platform are initially bound under Ase Society’s master agency hierarchy and BGA contracts.

• Self-Sourced AOR Transfers: If Producer terminates this Agreement in good standing, Ase Society agrees to be open to executing an Agent of Record (AOR) transfer so that Producer's active self-sourced book of business and client relationships may be released and moved with them.

• Exclusions: As noted in Section 4, any policies or clients generated via company-funded lead programs or agency resources are ineligible for transfer and will remain with Ase Society.

7. Suspension & Termination

Either Party may suspend or terminate this Agreement at any time, with or without cause, upon written electronic notice to the other Party. Master Agency reserves the right to suspend or terminate this Agreement immediately upon written notice in the event of Producer’s licensing lapse, E&O cancellation, fraudulent activity, unethical conduct, or severe compliance violations. Upon termination, trailing commissions on previously placed policies will continue to be paid out per the agreed split, less any outstanding chargebacks or debt owed to Master Agency.
